Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HelmSwarm platform, websites, agent software, and related services (together, the "Service") operated by HelmSwarm ("HelmSwarm", "we", "us"). By creating an account, installing the agent, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

HelmSwarm provides software for automating real iOS devices — iPhones that you own and connect, or that you rent from HelmSwarm — managed from a single panel on a subscription basis. The Service includes the web panel, the downloadable agent, APIs, and supporting infrastructure. We may add, change, or remove features at any time.

2. Eligibility & accounts

• You must be at least 18 years old and able to enter into a binding contract.
• You are responsible for the accuracy of your account information and for all activity under your account, including activity by your team members.
• You must keep your credentials and connect tokens confidential. Notify us immediately of any unauthorized use.

3. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms. In particular, you are solely responsible for how you use the automation, including compliance with all applicable laws and with the terms, policies, and rules of any third-party platform, service, or account you interact with through the Service. HelmSwarm provides a general-purpose automation tool and does not endorse, monitor, or control the specific actions you automate.

4. Devices

If you connect your own devices, you confirm you have the right to operate and automate them. If you rent devices from HelmSwarm, the devices remain our property and must be used only through the Service and in line with these Terms. You must not attempt to tamper with, resell, or gain low-level access to rented hardware.

5. Subscriptions, billing & refunds

• The Service is offered on a recurring subscription (e.g. monthly). Fees, plans, and limits are shown at sign-up or in your panel.
• Subscriptions renew automatically for successive periods until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Except where required by applicable law, fees are non-refundable and we do not provide refunds or credits for partial periods, unused capacity, or downgrades.
• We may change pricing on reasonable prior notice; changes apply from your next billing period.
• Payments are processed by third-party payment providers; your use of payment features is also subject to their terms.

6. Intellectual property

The Service, including all software, the agent, designs, text, and the HelmSwarm name and marks, is owned by HelmSwarm and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription. You may not copy, decompile, reverse-engineer, resell, or create derivative works from any part of the Service, except to the extent this restriction is prohibited by law.

7. Your content & data

You retain ownership of the data and configurations you provide. You grant us the limited rights needed to operate the Service for you. Our handling of personal data is described in our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that it will achieve any particular result, or that automation will remain compatible with any third-party platform. Third-party platforms may detect, restrict, or terminate automated activity, and we are not responsible for such outcomes.

9. Limitation of liability

To the maximum extent permitted by law, HelmSwarm and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, accounts, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for all claims relating to the Service will not exceed the amount you paid to HelmSwarm in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless HelmSwarm and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your devices and accounts, or your violation of these Terms, the Acceptable Use Policy, applicable law, or any third-party rights or terms.

11. Suspension & termination

We may suspend or terminate your access at any time if you breach these Terms or the Acceptable Use Policy, if required by law, or to protect the Service or third parties. You may stop using the Service and cancel at any time. Provisions that by their nature should survive termination (including sections 6, 8, 9, 10, and 13) will survive.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, by additional notice. Your continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict-of-laws rules. The courts of Dubai, United Arab Emirates will have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law grants you the right to bring proceedings in your place of residence.
